Welcome to vIntel ("we," "our," or "us"). By accessing or using our application, website, Chrome extensions, and related services (collectively, the "Service"), you ("User") agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not use our Service.
1. Description of Service
vIntel provides an AI-powered summarization, transcription, and intelligence synthesis tool. We operate strictly as a specialized User-Agent. We do not "scrape" or host third-party content; rather, we act as a specialized browser that renders data in a more useful way for the User, who has already legitimately accessed the content.
2. User Responsibilities & Rights to Content
2.1 Authorization & Content Rights: You are strictly required to ensure that you own or hold all necessary rights, licenses, and permissions to access and process any content you provide to the Service. By submitting a URL, you warrant that you are authorized to view, access, and interact with that content.
2.2 Third-Party Terms Compliance: Because you use vIntel as a User-Agent to interact with third-party platforms (including YouTube), you remain independently bound by their respective terms of service. vIntel assumes no liability for your compliance or non-compliance with third-party platform rules.
2.3 Prohibited Uses & Infringement: You may not use the Service to infringe upon any third party's intellectual property rights. vIntel assumes no liability for copyright or trademark infringement arising from user-directed operations.
2.4 Allocation of Liability: You assume full legal responsibility for any content you direct vIntel to process. vIntel operates solely as a technical processing conduit and asserts no ownership over user-submitted materials.
3. DMCA Safe Harbor Registry
vIntel operates strictly as a service provider under the "Safe Harbor" provisions of the Digital Millennium Copyright Act (DMCA), 17 U.S.C. Section 512. We maintain a designated DMCA Agent registered with the US Copyright Office. We do not host original video content and are immune from copyright damages for user-submitted links, provided we strictly comply with valid takedown requests.
DMCA Takedown Process: If you are a copyright owner, please send a written notification to our designated Copyright Agent (legal@getvintel.com) including:
- Identification of the copyrighted work claimed to have been infringed.
- Identification of the material to be removed (e.g., specific vIntel summary URLs).
- Your contact information.
- A statement of good faith belief that the use is unauthorized.
- A physical or electronic signature.
4. Mandatory Indemnification & Duty to Defend
You agree to defend, indemnify, and hold harmless vIntel, its affiliates, directors, officers, and employees from and against any and all claims, causes of action, liabilities, judgments, penalties, losses, costs, damages, or expenses (including all legal fees and costs of litigation) arising directly or indirectly from your use of the Service.
Duty to Defend: Should vIntel face legal action, cease-and-desist demands, or litigation from third parties (including but not limited to content creators or platform providers like Google/YouTube) resulting from the content you submitted or processed via our Service, you are contractually obligated to assume the cost of our legal defense.
5. Disclaimer of Warranties
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. vIntel expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
6. Limitation of Liability
To the maximum extent permitted by applicable law, vIntel’s total aggregate liability for any claims arising from your use of the Service shall not exceed the amount you paid to us for the Service during the 12 months immediately preceding the claim.
7. Governing Law & Dispute Resolution
- US Users: These Terms shall be governed by the laws of the State of Delaware. Any disputes shall be resolved through binding arbitration in Delaware.
- EU Users: If you are a resident of the European Union, nothing in these Terms shall deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the law of your habitual residence.
8. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or dashboard notification. Your continued use of the Service constitutes acceptance of the revised Terms.
